Welcome to ProAdsAI. These Terms of Service ("Terms") govern your access to and use of the website and services provided by ProAdsAI LLC, a Wyoming Limited Liability Company ("Company," "we," "us," or "our"). By accessing our platform, you agree to be bound by these Terms.

1. Description of Service

ProAdsAI is a Software-as-a-Service (SaaS) platform utilizing artificial intelligence to automate ad creative generation, hook ideation, and marketing pipelines. Our services include AI-driven visual composition, copywriting automation, and strategic workflow tools.

2. Eligibility & Account Registration

You must be at least 18 years old to use our services. You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.

3. Subscriptions & Payments

  • Billing: Subscription plans are billed on a monthly or annual basis. Charges are processed via our third-party payment provider (2Checkout/Verifone).
  • 7-Day Free Trial: New users are eligible for a 7-day trial. If not cancelled, the subscription will automatically convert to a paid plan at the end of the trial period.
  • Cancellations: You may cancel at any time via your dashboard. Cancellation stops future billing, but previously processed charges are governed by our Refund Policy.

4. User Content & Intellectual Property

  • Your Uploads: You retain rights to any photos uploaded. You warrant that you own or have the necessary licenses for such content.
  • AI Output: ProAdsAI grants you a perpetual, non-exclusive license to use generated assets for your commercial marketing purposes.
  • Ownership: The platform, algorithms, and branding remain the exclusive property of ProAdsAI LLC.

5. Prohibited Conduct

You agree NOT to use the service to:

  • Generate non-consensual imagery or "Deepfakes" of real persons.
  • Create content that is illegal, defamatory, or infringes on third-party intellectual property.
  • Reverse-engineer the AI models or use automated bots to scrape the service.

6. Disclaimer of Warranties

ProAdsAI provides "synthetic digital assets." The service is provided on an "AS IS" basis. We do not guarantee specific marketing results, ROAS, or that the content will be 100% error-free.

7. Limitation of Liability

To the maximum extent permitted by law, ProAdsAI LLC shall not be liable for any indirect, incidental, or consequential damages resulting from your use of the service.

8. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, USA, without regard to its conflict of law principles.
